Work Schedule

1.1 Webtise will commence work on receipt of an email agreeing to the quote supplied and any referenced documentation along with receipt of a deposit.

2. Payment Schedule

2.1 50% deposit must be paid prior to work commencing

2.1.2 25% upon design sign off

2.1.3 Remaining 25% upon go live

2.2 The total project cost must be paid prior to the project being turned live

3. Miscellaneous Terms

3.1 In the course of the performance of this agreement, the parties may find it necessary to disclose certain confidential information or data to each other. In such an event, the following terms shall apply:

3.1.1 Each party that receives information from the other will treat that information as confidential, and use the same degree of care, as the receiving party would employ in the protection of their own confidential information, provided the information is identified as confidential at the time of disclosure.

3.1.2 Webtise will only use any information received in connection with its performance of services on behalf of the client who supplied that data.

4. Day to Day Contact

4.1 Each client is assigned an account manager with whom they will deal each day.

4.2 On certain projects, we may choose to assign a project manager with more specialist knowledge who will act as primary point of contact on that specific project.

4.3 We will always endeavor to respond to all communication within 8 working hours, however, we guarantee response within 48 working hours due to the complex nature of the industry and potential for advice to be sought internally in order to respond adequately.

4.4 It is anticipated that, in the first instance any difficulties arising will be resolved between the client and their Account/ Project Manager as assigned according to 4.1 or 4.2. In the unlikely event that this is not possible, responsibility for dealing with complaint will rest with Managing Director Graham Withe, who can be contacted at:

5. Assumptions & Exclusions

5.1 The parties acknowledge and agree that the project fees, the delivery schedule and scope are expressly conditioned upon the following assumptions:

5.1.1 Except as otherwise expressly provided in the agreement or any referenced documentation, the client shall turn around all requested information, materials and approvals within the timescales requested from Webtise. Projects estimated as ‘days’ means ‘working days’, which excludes weekends and bank holidays. Any delays in responding to Webtise’s requests will directly impact on any agreed delivery dates, and will result in the automatic amendment of timescales. Significant delay may cause the project to have to be put back to the next available slot in the development calendar so as to prevent other projects being impacted.

5.1.2 Webtise services are, unless explicitly stated, provided on an individual project fixed-fee basis. Circumstances encountered during a project may arise that are out of the control of Webtise or the client, and can affect the timescale and cost of the project, and thus the delivery date of the project.

5.1.3 Any costs outside the scope of the original agreement, will be agreed between the parties prior to incurring those costs.

5.1.4 Webtise will not be held responsible for any delay or failure to comply with our obligations under these conditions, if the delay or failure arises from any cause, which is in any way beyond our reasonable control. This condition does not affect your statutory rights.

5.1.5 Webtise aim to deliver projects to the clients’ satisfaction. During the design process we aim to get the design right the first time, however, should the design need to be re worked, we will continue to amend the designs until the client is satisfied with the final result. Unless otherwise stated is this or any referenced documentation, revisions are limited to rounds within the price given, we will conduct more, however, this work will be charged by the hour and will impact on the delivery schedule.

5.1.6 Webtise does not allow illegal, abusive or offensive content on websites or anything contained in them, which promotes or incites illegal activities in any jurisdiction. Webtise reserves the right to refuse service based on content matching of these criteria, and will withdraw content at its own discretion without any prior notice.

5.1.7 Once Webtise has been engaged to provide our services, please note that we do not offer a full refund policy. We aim to deliver all projects to the clients satisfaction based on the products purchased. Should on the rarest of occasions a refund be requested, Webtise will in the first instance attempt to resolve the matter amicably, should this matter progress to issuing a refund, we will deduct the costs incurred to date from the funds received and issue the remainder by electronic transfer.

5.1.8 The client agrees to accept where reasonable Webtise expertise and advice during the course of the project. Should this advice not be followed, Webtise cannot be held responsible for any shortcomings in the success of the project.

5.1.9 In the case where you have a website hosted with us which you want to move elsewhere for any reason, all content, graphic elements and business data will be provided via an appropriate media at a cost of £199 + VAT per website.

5.2 The parties acknowledge and agree that the technical specifications, however they are presented are expressly limited by the following technical assumptions:

5.2.1 Websites are testing on the following operating systems only, unless the website is being developed for a specific platform: Windows XP Service Pack 3, Windows Vista Service Pack 2, Windows 7 Service Pack 1, OSX Snow Leopard, OSX Lion

5.2.2 Websites are testing on the following browsers only, unless the website is being developed for a specific platform: Internet Explorer 8 & 9, Firefox 3.6+, Safari 5+, Chrome 12+

5.2.3 Websites are tested to work within the following resolution range only, unless the website is being developed for a specific platform: 1024 x 768 – 1920 x 1200
5.2.4 Websites cannot be guaranteed for forward compatibility, if a new operating system, browser or resolution becomes popular following the development, we are unable to guarantee that the website will work.

6. Status of this Document

6.1 Unless both parties execute this document, it shall be deemed a non binding solicitation to undertake further discussions. Once fully executed, this and any referenced documents shall be deemed a project specification as such term is defined by any professional services agreement then in place between Webtise and the above mentioned client.

6.2 In the event no agreement is in place between parties as of the execution hereof, the parties’ signature hereon shall serve only to evidence the parties’ intentions to enter into good- faith negotiations to reach such an agreement, and shall not establish a binding contract between the parties except as may be set forth in such an agreement.

7. Copyright

7.1 Webtise allow it’s clients full copyright to any work created by us that is commissioned by the client in this document. Third party software licenses carry their own copyright not affiliated to Webtise, however, design and code can be supplied on a disk upon request at any stage after the commissioned project payment has been completed.
